Terms of Service Agreement Effective Date: 03/28/2025 This Terms of Service Agreement (“Agreement”) is entered into between Egan Technology Services (“MSP”, “we”, “us”, or “our”) and the customer (“Client”, “you”, or “your”) receiving services and/or products from us. By submitting payment for any of our services or products, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not make payment or proceed with services or product purchases. ______________________________________
- Scope of Services and Products
We provide managed IT services and related products including, but not limited to, software deployment, hardware installation, system configuration, monitoring, support, and sales of hardware, software, and other IT-related equipment (collectively, “Services and Products”). ______________________________________
- No Warranty & Limitation of Liability
2.1 No Warranty All services and products are provided “as-is” and “as-available” without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 2.2 Limitation of Liability Under no circumstances shall [Your Company Name] be liable for any direct, indirect, incidental, special, punitive, or consequential damages that result from: • Products (hardware or software) provided, installed, configured, or recommended by us; • Hardware or software failures, incompatibilities, or malfunctions; • Network configurations, system settings, or changes made at our recommendation or implementation; • Data loss, security breaches, or downtime related to or resulting from our services or products. You expressly agree that your use of our services and products is at your sole risk. 2.3 Third-Party Products We may assist with or recommend third-party software, platforms, or hardware. We are not responsible for the performance, support, licensing, or failures of any third-party products. ______________________________________
- Indemnification
You agree to indemnify, defend, and hold harmless Egan Technology Services, its officers, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: • Your use of the Services or Products; • Any software, hardware, or systems you authorize us to configure, install, or modify; • Any breach of this Agreement by you. ______________________________________
- Acceptance of Terms
By submitting payment for any of our services or products, you: • Affirmatively agree to this Terms of Service Agreement; • Acknowledge that these terms are binding as of the date payment is received; • Waive any right to dispute the validity of this Agreement due to lack of signature. ______________________________________
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Kentucky, without regard to its conflict of law principles. ______________________________________
6. The terms of this agreement can only be changed in writing and no oral agreements shall be binding on the parties.
7. Modification of Terms
We reserve the right to modify these terms at any time. Updated terms will be posted on our website.
